New Member Education

It all begins with learning. Maybe you want to work at an investment bank. Maybe you want to attend law school. Or maybe you want to stick it out on your own. Whatever it is, our new member education will teach you about the realm of transactions so you can make a difference.

Current Juniors should explore the Summer 2025 sheet, while current Sophomores should use the Summer 2026 sheet.

Internship Tracking

  • This session will provide an overview of M&A transactions, including the key players, the process, the various strategies involved, and the legal and regulatory considerations.

  • This session will discuss the fundamentals of valuation, including the use of discounted cash flow, multiples methods, precedent transactions, and comparable companies.

  • This session will examine the various capital-raising solutions available that can finance a transaction. These include the use of debt, equity, and hybrid securitized instruments.

  • This session will cover the basics of M&A negotiations, including the various roles and motivations of the buyer and seller, common pricing and structure techniques, and different negotiation strategies that can be employed.

  • This session will discuss the key components of a due diligence process, including financial, legal, operational, and tax considerations. This is a vital phase and is where most transactions fall through.

  • This session will discuss the regulatory and tax implications of M&A transactions, including the potential for anti-trust issues, the role of the SEC, and the tax ramifications of the transaction.

  • This session will cover the challenges posed by international transactions, including foreign laws, cross-border financing, and currency considerations.

  • This session covers the firm integration process and why most M&A transactions fail at this stage.

  • Our new members break off into groups of three and propose an M&A transaction from scratch. During the final week of the new member education program, members will present their pitches to compete for prizes.

Deliverables

We are one of the only student organizations that partners with firms to produce real work products. Members that complete the NME process can work on live M&A transactions during the semester with boutique investment banks that our club has partnered with. Participating members are split into one of two deal teams led by a project manager who reports directly to our partner firms and participates on weekly calls pertaining to ongoing transactions. Deal team members will use excel and powerpoint to produce anything our partner firms need to meet their mandate, including but not limited to the following functions:
